These Terms and Conditions govern purchasing from, or selling to LuxeLoop Limited (“LuxeLoop”). By submitting items for sale, or purchasing items from LuxeLoop, you agree to be bound by these terms and conditions (“Agreement”).

1. Definitions

• “Buyer” means any individual purchasing items from LuxeLoop.
• “Item or Items” refers to garments being sold to LuxeLoop or purchased from LuxeLoop
• “LuxeLoop,” “we,” “our,” “us” refers to LuxeLoop.
• “Platform” refers to the LuxeLoop website and app.
• “Seller” means any individual or business selling items to LuxeLoop.
• “Your or you” refers to the Buyer or Seller as the context dictates.

Part 1 – Seller Terms (Items Sold to LuxeLoop)

This section applies to individuals or businesses selling Items directly to LuxeLoop

1. Sale of Items

• The Seller agrees to sell, and LuxeLoop agrees to purchase Items at the mutually agreed upon price (30% of re-sale value of the Items).
• Upon completion of the sale, full ownership and title of the Items shall transfer to LuxeLoop. The Items become LuxeLoop inventory, and LuxeLoop may elect to resell, modify, or market the Items at its sole discretion.  
• All sales are final once LuxeLoop confirms acceptance of, and pays the Seller for the Items.

1. Item Condition and Authenticity

• The Seller represents and warrants to LuxeLoop that:
  a. The Items are authentic and genuine and any information provided by the Seller to LuxeLoop is true and accurate;
  b. The Items are free from liens, claims, or encumbrances, do not infringe any third party rights (including intellectual property rights) and the Seller has full legal right and authority to sell the Items;
  c. The Items are accurately described in terms of brand, size, condition, and any defects.
• LuxeLoop reserves the right to inspect and reject any Items that do not meet its quality or authenticity standards. Rejected Items will be returned at the Seller’s cost or otherwise disposed of at LuxeLoop’s sole discretion.

1. Pricing and Payment

• LuxeLoop will provide the Seller with a written purchase offer for each Item via email (unless agreed otherwise).
• Payment will be made to the Seller via internet bank transfer (unless agreed otherwise) within 5 days of LuxeLoop’s acceptance of the Items.
• Once payment is made, LuxeLoop has no further obligations to the Seller regarding the Items.

1. Delivery and Risk

• The Seller is responsible for delivering the Items to LuxeLoop at the address specified by LuxeLoop.
• Risk of loss or damage to Items transfers to LuxeLoop upon delivery and acceptance of the Items to the address specified by LuxeLoop.
• Sales are final. LuxeLoop may, at its sole discretion, return Items failing authenticity or quality checks. Any related shipping or postal costs will be the Seller’s sole responsibility.

5. Returns

• Once LuxeLoop accepts an Item, the sale is final, and the Seller cannot request a return of Items for any reason.
• LuxeLoop may, at its sole discretion, return Items that fail authenticity or quality checks, in which case the Seller is responsible for associated shipping or postal costs (unless agreed otherwise).

6. Intellectual Property

• The Seller grants LuxeLoop a non-exclusive, royalty-free license to use images, descriptions, and related content provided with the Items for marketing, sale, promotional, or any other reasonable purposes associated with LuxeLoop and/or its brand or Platform.

8. Limitation of Liability

• LuxeLoop is not liable for any indirect, incidental, or consequential damages whatsoever arising from the purchase or resale of Items.
• Notwithstanding any other provision of this Agreement, LuxeLoop’s maximum aggregate liability to the Seller for any direct claim related to this Agreement is limited to the purchase price paid for the relevant Item(s).

Part 2 – Buyer Terms (Purchasing Items from LuxeLoop)

This section applies to customers purchasing items from LuxeLoop 

1. Acceptance of Terms

• By placing an order with LuxeLoop, the Buyer agrees to this Agreement.

1. Item Descriptions

• LuxeLoop strives for accurate descriptions and images.
• The Buyer acknowledges and agrees that Items are pre-loved and therefore minor wear and tear may have occurred. This will be disclosed to the Buyer by LuxeLoop where reasonably possible.

1. Pricing and Payment

• All prices are in NZD and include applicable taxes (unless stated otherwise).
• Payment must be completed via the Platform before Items are shipped or posted.

1. Shipping and Delivery

• Subject to the below, LuxeLoop ships or posts within 5 days of order confirmation.
• The Buyer acknowledges and agrees that delivery times may vary; LuxeLoop is not liable for any delays outside its control, including delays arising as a result of generally accepted and recognised force majeure events.
• Risk of loss and title in the Items passes to the Buyer upon delivery to the Buyer’s nominated address.

1. Returns and Refunds

• LuxeLoop does not offer exchanges, refunds, or returns for change of mind.  Returns are accepted only if an Item is in the reasonable opinion of LuxeLoop, misrepresented, damaged in transit, or defective.
• The Buyer must notify LuxeLoop in writing within 7 days of receipt of Items to the Buyer’s nominated address for return eligibility.
• Unless otherwise agreed, refunds will be processed via the original payment method once the Item is returned and inspected.

1. Intellectual Property

• LuxeLoop owns all images, branding, and website content. The Buyer may not reproduce or distribute these without the written consent of LuxeLoop, which may be withheld at LuxeLoop’s sole discretion.

1. Limitation of Liability

• LuxeLoop is not liable for indirect, incidental, or consequential losses whatsoever arising from the purchase of the Items by the Buyer.
• Notwithstanding any other provision of this Agreement, LuxeLoop’s maximum aggregate liability for any direct claim relating to Items purchased by the Buyer is limited to the purchase price of the Item.

General Terms (Applicable to Sellers and Buyers)

1. Privacy

• LuxeLoop may collect personal information from you, including but not limited to your name, address, phone number, email address and payment details, for the purposes of processing transactions, delivering goods and providing Buyer or Seller customer support.
• Your personal information will only be used for purposes related to the services provided to you by LuxeLoop.
• LuxeLoop will not sell, rent or trade your personal information to any third party. We will only share your personal information with trusted service providers (such as couriers or payment processors) to the extent necessary to complete your sale or purchase.
• LuxeLoop will take reasonable steps to protect your personal information against loss, unauthorized access, disclosure, or misuse.
• Under the Privacy Act 2020, you have the right to access and correct any of your personal information held by us. To do so, please contact us at contact@luxeloop.co.nz
• Bu using our services, you consent to the collection, use and disclosure of your personal information in accordance with this section 
• Governing Law
• This Agreement is governed by the laws of New Zealand, and any disputes arising from it shall be subject to the jurisdiction of the New Zealand courts. 

Amendments

• LuxeLoop reserves the right to amend these terms and conditions at any time by uploading the updated terms and conditions on the Platform. Continued submission of Items constitutes acceptance of any updated terms and conditions.

Entire Agreement

• This Agreement constitutes the entire agreement between the parties regarding the sale of Items and supersedes all prior communications or understandings (written or oral).
